Bailey Cavalieri LLC is seeking a mid to senior level associate to join the Representations & Warranties Insurance section of its Corporate practice group. This associate will have the opportunity to work on noteworthy and high-value post-closing M&A disputes nationwide, as well as pre-transaction underwriting and risk assessment on behalf of a variety of global transactional risk insurance carriers. The ideal candidate will have 3+ years of experience handling complex business transactions, including mergers and acquisitions, securities law, business formation, corporate governance, and contract matters. Candidates must have a sound business sense and the ability to effectively manage internal and external counsel and client relationships. Candidates should also demonstrate strong analytical and audit skills.

Essential Qualifications: 

  • Strong academic credentials with an undergraduate degree in finance or accounting
  • Excellent written and oral communication skills
  • Ability to work both independently and collaboratively
  • Outstanding project management skills and capacity to work with multiple attorneys on a variety of assignments
  • Organized, exceptional attention to detail, efficient, and collegial with a superb work ethic.
  • Works to anticipate client needs; forward-thinking and solutions-oriented approach
  • Desire to represent the Firm with integrity and professionalism

Additional Valuable Credentials or Experience

  • Work experience in accounting or finance
  • CPA, CFA, or other accounting/valuation credentials
  • Experience with post-M&A legal matters involving purchase price adjustments or valuation of damages
