New Developments on the Corporate Transparency Act

The nationwide preliminary injunction is still in effect. The Corporate Transparency Act (“CTA”) and its Reporting Rule requiring Beneficial Ownership Information (“BOI”) reports are not currently required, pending further order of the court.  

You may have seen articles recently about conflicting court decisions related to the CTA. The district court issued a nationwide preliminary injunction in early December pausing the enforcement of the CTA and Reporting Rule until further order of the court (see more in our previous post below). The government appealed the district court decision and then asked the district court to issue a stay pending the appeal. The government’s request for a stay was denied by the district court but was then granted by the Fifth Circuit Court of Appeals on December 23.

Then, on December 27, the Fifth Circuit vacated its December 23 order from earlier this week that granted the stay. In other words, the nationwide preliminary injunction from early December is back in effect and BOI reports are not required at this time.
